Nairobi Securities Exchange (NSE) Job 2023/2024

1. Job Title: Chief Internal Auditor

Overall Purpose

The Chief Internal Auditor will provide the Audit, Risk and Compliance Committee with an objective and independent assurance and at the same time offer consulting role designed at adding value and improving the NSE’s operations. He/she will be responsible for developing and implementing independent, systematic and objective audit review and evaluation of business policies, systems, processes and practices to assess the effectiveness of internal controls and degree of compliance as well as identifying organisational gaps & deficiencies and ensuring that good corporate governance practices are implemented to enhance the NSE’s credibility and brand.

Key Duties and Responsibilities

  1. Provide strategic and thought leadership in the development and implementation of internal audit strategies, audit charter, policies and procedures in order to achieve the Exchange’s objectives;
  2. Coordinate, supervise and continuously coach the audit team;
  3. Prepare risk based annual audit plan aligned to the Exchange’s objectives for continuous audit of the organisation’s risk management, internal controls, governance process and financial statements;
  4. Planning and timely execution of Information Systems, Financial, Operational, and Compliance audits as well as audit of projects in line with applicable standards such as IPPF and IFRS;
  5. Preparation of audit reports, clearance of any audit queries with various Heads of Department, Chief Executive and Chairperson of Audit Committee;
  6. Preparation, attendance and presentation of audit reports to the Audit Risk and Compliance Committee;
  7. Establishing and maintaining good working relationships with all stakeholders;
  8. Work closely with external auditors and other assurance providers;
  9. Continuous tracking of closure of all issues raised by Internal audit, external auditors, and other assurance providers; and
  10. Conducting any investigations and other assignment(s) as may be required by the Audit, Risk and Compliance Committee and/or Management.

Competencies

  1. Bachelor’s degree in Accounting, Finance, Auditing or Business Administration from a recognized institution; Possession of a Master’s degree would be an added advantage.
  2. Professional qualifications such as CPA, ACCA or equivalent.
  3. Other Professional qualification in audit, information systems, fraud and investigation e.g. CISA, CFE would be an added advantage.
  4. Must be a member of the Institute of Certified Public Accountants of Kenya in good standing.
  5. Minimum eight (8) years relevant professional experience in the areas of internal or external audit, compliance and risk management gained from an organization with strong internal control frameworks. At least five (5) years must have been in senior management role with exposure to Board reporting.
  6. In-depth knowledge of the International Financial Reporting,Standards, International Standards on Auditing and International Standards for Professional Practice of Internal Auditing is a must.

Experience

  1. Good knowledge of the Kenyan Capital Markets’ systems, technology and risk framework
  2. Good knowledge & understanding of the Capital Markets regulatory framework
  3. Sound understanding and working knowledge of financial information systems
  4. Hands-on experience in carrying out Information Systems audits
  5. Hands-on experience in the use Computer Assisted Audit Techniques
  6. Ability to provide timely and accurate information on matters related to audit without compromising the independence or objectivity of the risk management function
  7. Ability to maintain confidentiality of privileged information and to ensure absolute discretion and sensitivity to confidential matters

2. Job Title: Systems Administrator

To effectively design, build, test and implement and provision software from specific user requirements and business needs. The holder of this position will also install, configure, administer and provision business systems in line with Information Technology (IT) Operations and in compliance with internal policies as well as statutory and regulatory requirements as may be applicable.

Overall Purpose

Will have the responsibility of working together with the Head of Legal in providing legal and company secretarial services to the Company.

Key Duties and Responsibilities

  • Evaluate user requests for new, modified or updated software application programmes to determine feasibility and compatibility with current system and if they are fit for purpose;
  • Champion user acceptance and quality testing for IT systems prior to deployment in the live environment;
  • Ensure that system changes adhere to change management policies;
  • Review, test and evaluate existing business applications and databases to determine their effectiveness, reliability and compatibility in line with business requirements;
  • Develop and update system and user manuals for the various business applications;
  • Administer NSE systems and enterprise databases both on the primary site as well as the Disaster Recovery site including systems start-up, shutdown and monitoring;
  • Systems development using suitable programming language(s) based on written technical specifications including development of front end graphical user interfaces, back-end database design and integration component for applications;
  • Investigate, analyse, resolve and document reported software defects;
  • Develop and implement unit test plans, scripts and test harnesses; and
  • Perform all other related duties as assigned from time to time.

Minimum qualifications and desired skills

  • BSc in Computer Science, Information Technology or equivalent qualifications.
  • Minimum two (2) years’ experience in systems analysis and design, programming, installation and customisation of computer hardware systems including integrated software programmes.
  • Professional training that enhances knowledge in information security such as a CISA certification or a professional diploma in relevant areas is an added advantage.
  • Working IT Knowledge in operating systems, network design and system audit.
  • Experience in Relational Database Management Systems such as Oracle and MSSQL Database.
  • Experience with server-side scripting using PHP/Ruby/Server-side JS.
  • Experience in Linux Systems Administration will be an added advantage.
  • Experience developing web applications using HTML, CSS, and modern JavaScript frameworks such as Angular/React/Polymer, REST, SOAP, JSON, JQUERY, AJAX will also be an added advantage.

3. Job Title: Senior Legal Officer

Overall Purpose

Will have the responsibility of working together with the Head of Legal in providing legal and company secretarial services to the Company.

Key Duties and Responsibilities

  • Provision of internal legal advice to NSE on its operations, and initiatives and make proposals for changes in the existing Capital Markets Laws, Regulations, Rules and Guidelines, as necessary.
  • Draft and engage with various regulators on regulations, rules and guidelines required to facilitate NSE operations and initiatives;
  • Negotiate, review and drafting of agreements with service providers and various stakeholders;
  • Maintain the Company’s Contracts Register;
  • Carry out legal research and provide support in making appropriate recommendations to the Board and Management of NSE;
  • Provide updates and legal opinions to the NSE Board, Management and Staff as appropriate on legal developments affecting NSE’s operations;
  • Maintain an up to date legal framework (e.g. regulations and rules) of the NSE and ensure upload on the NSE Website;
  • Assist in ensuring that the company’s Intellectual property is protected and up to date with the relevant registries;
  • Coordinate and support external legal counsel engaged by NSE to provide legal services and ensure timely delivery of services by external counsel;
  • Assist in effectively managing any dispute resolution that the company may be involved in;
  • Assist to prepare NSE Board and Committee Papers in a timely fashion and assist in various company secretarial tasks;
  • Coordinate the development of status reports on the company’s compliance with applicable laws and ensure regulatory compliance, in liason with the Risk and Compliance Department; and
  • Perform any other duties as may be assigned from time to time.

Minimum qualifications and desired skills

  • Bachelor’s degree in Law. A Master’s degree in a relevant area will be an added advantage
  • Minimum four (4) years’ post qualification experience. Experience in the financial services sector will be an added advantage.
  • Experience in company secretarial practice is preferred.

Key Competencies

  • Knowledge and experience in corporate and commercial law.
  • Knowledge and exposure to finance sector laws, regulations, rules & guidelines.
  • Ability to prepare contracts and various relevant legal documents.
  • Experience in legislative drafting.
